Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the NabuKit website, application, APIs, and downloadable artifacts (collectively, the “Service”), operated by MonetizeDesign LLC (“MonetizeDesign,” “we,” “us,” or “our”), a United States limited liability company controlled by Wynter Jones. By creating an account, paying for a subscription, or otherwise using the Service, you (“you,” “your,” or “Customer”) agree to be bound by these Terms.

1. The Service

NabuKit is a planning tool. It accepts your description of a software project and assists you in producing planning artifacts (including but not limited to SOUL.md, MRD.md, BRD.md, PRD.md, Design.md, HTML mockups, agent instruction files, and a build prompt). NabuKit does not execute or host the resulting application; you are solely responsible for running, deploying, hosting, supporting, and securing any code that is produced from your bundle, by you or by any third-party AI coding agent.

2. Accounts

You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity that occurs under your account. You must be at least 13 years old (16 in the EU/EEA/UK) to use the Service. We may suspend or terminate accounts that violate these Terms.

3. Subscriptions, trial, and fees

NabuKit offers a single paid plan, billed in U.S. dollars through Stripe. A 14-day free trial may be offered. After the trial, your card on file is charged on a recurring monthly basis until you cancel. You can cancel at any time through the in-app billing portal; cancellation takes effect at the end of the then-current billing period.

Each subscription period includes a monthly token quota that meters your use of third-party AI generation. If you exhaust the quota you may purchase a one-time top-up pack, also through Stripe. Top-ups are non-refundable and reset with your next billing period. Prices, quotas, and trial length are described on the Pricing page and may be changed with at least 30 days’ notice.

Except where prohibited by law, all charges are non-refundable. Taxes (including VAT/GST/sales tax) may be added at checkout where applicable.

4. Acceptable use

You agree not to use the Service to (a) violate any law or regulation; (b) infringe anyone’s intellectual-property, privacy, or publicity rights; (c) generate or distribute malware, spam, or material that is sexually explicit, hateful, harassing, or that depicts minors in sexual contexts; (d) attempt to access another customer’s account or data; (e) reverse- engineer, scrape, or stress-test the Service except as required for legitimate security research disclosed to us in good faith; or (f) resell or sublicense the Service to third parties without our written consent.

5. Your content; your bundle

You own the inputs you submit to NabuKit and the outputs that NabuKit produces for your account (collectively, “Customer Content”). We claim no ownership in your bundle. By submitting Customer Content you grant MonetizeDesign a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Customer Content solely as necessary to operate, support, and improve the Service.

AI-generated outputs can be inaccurate, incomplete, or unsuitable for any particular purpose. You are solely responsible for reviewing, validating, and accepting any output before relying on it.

6. Third-party services

NabuKit transmits Customer Content to third-party providers (currently including, without limitation, Anthropic for AI generation, Stripe for payments, Filestack for avatar uploads, and Railway for hosting). Your use of those providers’ outputs is also subject to their respective terms. We are not responsible for outages, errors, or content originating from third-party providers.

7. Intellectual property

The Service, including its visual design, source code, ViewComponents, illustrations, copy, and the name “NabuKit,” is owned by MonetizeDesign LLC and protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes during the term of your subscription.

8. Confidentiality and security

We use commercially reasonable administrative, technical, and physical safeguards to protect Customer Content. No system is perfectly secure; you accept the residual risk inherent in transmitting data over the internet. Report suspected vulnerabilities to security@nabukit.com.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONETIZEDESIGN LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONETIZEDESIGN LLC AND ITS AFFILIATES, OFFICERS, AND CONTRIBUTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (a) US$100 OR (b) THE AMOUNTS YOU PAID TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11. Indemnification

You agree to defend, indemnify, and hold harmless MonetizeDesign LLC and its officers and affiliates from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of (a) your use of the Service in violation of these Terms; (b) your Customer Content; or (c) any code you build, ship, or distribute using a NabuKit bundle.

12. Termination

You may stop using the Service at any time and may cancel your subscription from the billing portal. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a manner that exposes us to legal or operational risk. Upon termination, sections that by their nature should survive (including ownership, disclaimers, liability limits, indemnity, and dispute resolution) will survive.

13. Changes

We may update these Terms from time to time. Material changes will be announced in-app or by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

14. Governing law & venue

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. Any dispute that is not subject to arbitration will be brought exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction in those courts.
